Terms of Use

1. Eligibility

You must be at least 16 years old and either enrolled at, or affiliated with, a recognized tertiary institution to use the Services. By registering, you represent that all information you provide, including your institutional affiliation, is accurate. We may request verification (such as a valid student ID or matriculation number) before enabling wallet or tutoring features.

2. Account Registration & Conduct

You are responsible for safeguarding your credentials and for all activities under your account. You agree not to misuse the platform, impersonate others, share your account with another person, or engage in unauthorized access attempts. You must notify us immediately if you suspect unauthorized use of your account.

3. Description of Services

MindStep provides a platform connecting students for peer tutoring, and a digital wallet for sending, receiving, and storing funds for use within the platform. MindStep is a technology provider, not a bank or deposit-taking institution. Wallet funds are held and transmitted through our licensed, third-party payment processing partner(s), and your use of wallet features is also subject to that partner's terms.

4. Wallet, Fees & Payments

• Wallet balances do not earn interest and are not insured deposits.
• We may charge fees for certain transactions (e.g., withdrawals, transfers); applicable fees will be disclosed before you confirm a transaction.
• You are responsible for the accuracy of payment details you provide. MindStep is not liable for funds sent to an incorrect recipient due to user error.
• We may delay, decline, or reverse a transaction where we reasonably suspect fraud, error, or a violation of these Terms, and may require identity verification (KYC) before processing certain transactions, in line with applicable Nigerian financial regulations.
• Refunds for tutoring sessions are governed by our cancellation policy, made available in-app.

5. Peer Tutoring Marketplace

• Tutors are independent students offering services through the platform, not employees, agents, or contractors of MindStep.
• MindStep does not guarantee the accuracy, quality, or outcome of any tutoring session, including academic results or grades.
• Disputes between a tutor and a student regarding a session should first be raised through our in-app support and resolution process.
• We reserve the right to remove any tutor or listing that violates these Terms or our community guidelines.

6. Platform Usage & Restrictions

• You agree not to modify, reverse-engineer, or decompile any part of the Services.
• You will not upload or transmit malicious code, viruses, or spam.
• You agree not to use the platform for money laundering, fraud, or any other unlawful purpose.
• You will not use the wallet to send or receive payment for goods or services unrelated to the platform's intended use.

7. Intellectual Property

All software, visual assets, branding, and original content provided through MindStep are the exclusive property of MindStep and protected under applicable copyright and intellectual property laws. You may not copy, reproduce, or create derivative works from this content without our prior written consent.

8. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, MindStep shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including losses arising from peer transactions or tutoring sessions between users. Our aggregate liability for any claim shall not exceed the amount of fees you paid to MindStep in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold MindStep harmless from any claims, damages, or expenses arising from your breach of these Terms, misuse of the Services, or violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate access to the Services at our discretion, with or without notice, for conduct that violates these Terms. Upon termination, any remaining wallet balance will be handled in accordance with our withdrawal and account closure process, subject to applicable law.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Services shall first be addressed through good-faith negotiation via our support channels, and if unresolved, may be submitted to the courts of Nigeria having competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
